1.Definitions
- UCM Holland: Used Cranes and Materials Holland B.V., Rijksstraatweg 59, 2171 AK Sassenheim, the Netherlands, Chamber of Commerce 28113311.
- Customer: the natural person acting in the course of a business or profession, or the legal entity, that enters into an agreement with UCM Holland.
- Goods: used cranes, crane parts, materials and related equipment offered by UCM Holland.
- Webshop: the online catalogue and ordering environment of UCM Holland.
- Quotation: a written price proposal for one or more goods, valid for the period stated on that proposal.
2.Applicability
These terms apply to all offers, quotations, orders and agreements of UCM Holland relating to the sale of goods. Deviations are valid only if UCM Holland has confirmed them in writing. Any purchasing terms or other terms of the customer are expressly rejected.
UCM Holland sells exclusively to professional buyers. The customer warrants that it purchases the goods for use in its business or profession.
3.Offers and formation of the agreement
The catalogue in the webshop is an invitation to treat. Descriptions, photos, part numbers, dimensions, weights and years are compiled with care, but remain an indication. Goods are unique used items and are subject to prior sale.
- A webshop order becomes an agreement once UCM Holland has confirmed the order and payment has been received, unless the item has already been sold.
- A quotation becomes an agreement once the customer has accepted it in writing or via the purchase link, within the stated validity period, and any agreed payment terms have been met.
- UCM Holland may refuse an order or quotation request without giving reasons, for example if the goods are no longer available or the destination is not permitted.
4.Prices
All prices are in euros and exclude VAT, unless stated otherwise. Prices are typically FAS (Free Alongside Ship) Port of Rotterdam, Amsterdam, Zeebrugge or Antwerp, or ex yard Sassenheim or Almere, as stated on the quotation or in the webshop.
- Deliveries in the Netherlands: 21% Dutch VAT.
- Intra-EU supplies to a customer with a valid VAT identification number: reverse charged (0%).
- Export outside the EU: 0% VAT. The customer is responsible for import duties, permits and local taxes in the country of destination.
Road or sea transport, packing, inspection, certification and export documents can be arranged on request and are charged separately unless included in the quotation.
5.Payment
Webshop orders are paid at checkout via Stripe. For quotations, payment follows the terms on the quotation: usually payment before collection or dispatch.
- Invoices, where issued on account, are payable within 14 days of the invoice date unless another term is agreed in writing.
- UCM Holland may suspend delivery until outstanding amounts have been paid.
- Title to the goods remains with UCM Holland until the full price has been received.
6.Delivery, collection and risk
Goods can be collected from the yard in Sassenheim or the storage location in Almere, or shipped worldwide. Delivery times are indicative. Risk passes to the customer on collection or, in the case of shipment, according to the agreed Incoterm.
The customer is responsible for unloading, transport from the agreed delivery point, and for putting cranes or parts into service in the country of destination, including any required inspections, certificates and permits.
7.Used goods and inspection
The goods are used. Wear, traces of use and age-related defects are inherent in used cranes and parts. Goods are sold in the condition they are in at the time of the agreement, as described and photographed, and as inspectable at the yard.
The customer is expected to inspect the goods, or to have them inspected, before purchase. After collection or delivery, visible defects must be reported in writing without delay. Because items are unique used goods, return or exchange is not possible unless the goods materially differ from the agreed description.
Fitment of parts is the customer's responsibility. The customer must verify part numbers, dimensions and compatibility with the crane type before ordering.
8.Use of the webshop
The customer is responsible for the accuracy of account details, delivery addresses and VAT numbers. The webshop may not be used for unlawful purposes or to scrape, copy or republish the catalogue.
9.Intellectual property
Photos, descriptions, part data and the webshop software remain the property of UCM Holland or its licensors. The customer obtains no right to reuse that material other than for assessing and completing a purchase.
10.Privacy
UCM Holland processes personal data as described in the privacy statement. That statement forms part of the agreement.
11.Liability
UCM Holland's liability is limited to the amount invoiced for the goods to which the claim relates. UCM Holland is not liable for:
- indirect damage, consequential damage, downtime or loss of profit;
- damage caused by incorrect or incomplete information supplied by the customer;
- decisions the customer takes on the basis of catalogue data without inspection;
- damage after the goods have been put into service, modified or installed by the customer or a third party.
Nothing in these terms excludes liability for intent or gross negligence by UCM Holland.
12.Force majeure
UCM Holland is not liable for failure to perform resulting from circumstances beyond its reasonable control, including transport disruption, customs delays, power or network outages, or unavailability of a unique item that has already been sold.
13.Changes
UCM Holland may amend these terms. The version in force at the time the agreement is formed applies to that agreement. The date at the top of this page shows the latest change.
14.Governing law and disputes
These terms and the agreement are governed by Dutch law. Disputes are submitted to the competent court in the District of The Hague, the Netherlands.
